Non-Disclosure Agreement · South Africa

Before you share the idea, protect it.

An NDA (a confidentiality agreement) is the document you sign before revealing something valuable: a business plan, client list, product, or the very fact that a deal is being discussed. Ours is drafted to South African law, POPIA-aware, mutual or one-way, and enforceable by urgent interdict. Fixed fee, no hourly billing.

What an NDA actually does

An NDA creates a legal duty of confidentiality: the person receiving your sensitive information may use it only for the agreed purpose, may not share it, and can be stopped by a court, fast, if they try. It turns a moral expectation ("please don't tell anyone") into an enforceable obligation.

Defines what's protected

Sets out exactly what counts as confidential, from trade secrets and financials to the mere existence of your discussions, so there's no argument later about what was covered.

Limits how it's used

The information may be used only for the stated purpose (evaluating a deal, a pitch, a partnership) and nothing else. Use it for anything else and that's a breach.

Enforceable by interdict

Because a leak causes harm money can't undo, our NDA expressly entitles you to seek an urgent court interdict to stop a threatened or actual disclosure, the remedy that actually matters.

Mutual or one-way? Pick the right shape.

The direction of disclosure changes the agreement. Our intake asks one question and builds the right version.

MOST COMMON

Mutual (two-way) NDA

Both sides will share confidential information: a joint venture, a merger discussion, two businesses exploring working together. Each party is both discloser and receiver, and the obligations run both ways. The natural choice whenever the conversation is a genuine two-way exchange.

ONE DIRECTION

One-way (unilateral) NDA

Only one side reveals sensitive information: you're pitching your idea to an investor, briefing a contractor, or showing your product to a potential customer. Only the receiving party is bound. Cleaner and often more readily signed where the flow of information genuinely goes one way.

What an NDA can, and can't, do

Straight talk, because an NDA oversold is an NDA that disappoints.

What it does

  • Binds the receiver to keep your information secret and use it only for the agreed purpose
  • Protects the existence of a deal or discussion, not just its contents
  • Gives you the right to an urgent interdict to stop a leak before it spreads
  • Extends the duty to the receiver's staff and advisors
  • Covers personal information exchanged, in line with POPIA
  • Sets a clear duration and a return-or-destroy obligation at the end

What it can't do

  • Protect information that's already public, or that the receiver already lawfully knew
  • Stop someone independently developing the same idea without using your information
  • Override a court order or a legal duty to disclose (though it requires notice to you first)
  • Act as a restraint of trade: stopping someone competing is a different agreement
  • Undo a leak that's already public; that's why the interdict remedy and acting fast matter
  • Substitute for actually marking and handling your information carefully

NDA questions, answered straight

Is an NDA legally binding in South Africa?

Yes. A properly drafted NDA is an ordinary contract and is enforceable like any other, provided the usual requirements are met (agreement, lawful purpose, and parties with capacity). What makes it useful is the remedy: because a leak causes harm that damages can't fully repair, our NDA expressly entitles you to an urgent interdict to stop a breach, which is the protection that counts.

Mutual or one-way: which do I need?

If both sides will share sensitive information (a partnership, a merger talk), you want a mutual NDA. If only you are revealing something (pitching an investor, briefing a supplier), a one-way NDA is cleaner and often signed more readily. Our intake asks a single question and builds the right one.

How long does an NDA last?

You choose the period, commonly three to five years for ordinary commercial information. For genuine trade secrets, the obligation can run for as long as the information stays secret. A blanket "forever" on ordinary information is less likely to be enforced, so we match the duration to the sensitivity.

Does an NDA stop someone competing with me?

No, that's a restraint of trade, a different agreement with its own rules. An NDA stops someone using or sharing your confidential information. If you also need to stop someone competing or poaching staff, that's a separate document we can prepare alongside.

What happens if someone breaks the NDA?

You can approach a court urgently for an interdict to stop the disclosure, claim specific performance, and claim damages, and pursue these together. Acting quickly matters: once information is truly public, it can't be made secret again, which is exactly why the interdict remedy is built in.

What about personal information (POPIA)?

Where the information shared includes personal information (customer or employee data, for instance), our NDA includes a POPIA clause requiring the receiver to protect and lawfully process it. Depending on the arrangement, a separate operator agreement under POPIA may also be needed, we'll flag that if it applies to you.

Can we sign electronically?

Yes. The agreement includes a counterparts and electronic-signature clause compliant with the Electronic Communications and Transactions Act, so the parties can sign in different places, electronically, and still have one binding agreement.
