MOI & Shareholders' Agreement questionnaire.

Everything on one page, about ten minutes. Answer the questions below, generate your completed answer set, and we'll draft your Memorandum of Incorporation and Shareholders' Agreement around exactly what you enter.

How this works: the fields below map directly onto the placeholders in your two documents. Prefer to do it offline or circulate it to co-owners first? Use Blank questions (PDF) below, fill it in, and send it back to us.

Your information stays on your device until you send it. Incomplete answers are fine; send what you have and follow up later.

Company details

The company itself

This fills in the recitals of both the Memorandum of Incorporation and the Shareholders' Agreement.

Without the "(Pty) Ltd", that's added automatically.

As issued by CIPC, e.g. 2026/123456/07. Leave blank if not yet registered, you can add it once you have it.

One sentence describing the business the company will conduct, this becomes the defined term "the Business" in both documents.

Share capital & governance

How the company is structured

These numbers set the ceiling in the Memorandum of Incorporation, they can be increased later by special resolution, but it's worth setting them with room to grow.

How many directors will the company have at the outset?

The maximum number of ordinary shares (of no par value) the company may issue without a special resolution to increase it. Common choice: 1,000.

Shareholders

Who owns the company

This version of the template is built for up to four shareholders. Complete as many as apply, Shareholders 1 and 2 are recommended; 3 and 4 are optional. If your company has more than four, complete all four and get in touch and we'll adapt the structure for you.

Shareholders 1–4 below become "Shareholder 1", "Shareholder 2", and so on throughout the Shareholders' Agreement, the order is only for reference, not shareholding size.

Agreement mechanics

A few mechanics the Shareholders' Agreement needs

These control how a few specific clauses of the Shareholders' Agreement operate.

Used in the signature blocks, usually the same year, even if signed a little after the effective date.

Shareholder loan accounts accrue interest at this bank's publicly quoted prime rate (clause 18 of the Shareholders' Agreement).
