Corporate & Commercial · Company Registration

Register your (Pty) Ltd properly. Once, and bank-ready.

A bare registration gives you a company number. It doesn't give you a share register, a beneficial ownership filing, resolutions, a B-BBEE affidavit or a Memorandum of Incorporation that fits how you'll actually own and run the business. lawvero does the whole thing (attorney-verified) for one fixed fee, VAT included.

  • Attorney-verified documents
  • Registration & SARS tax number included
  • Typically 5–10 business days
  • FICA-compliant process

Why not the cheapest option?

Anyone can get you a registration number. Most of the cost of getting it wrong only shows up later.

Dozens of online services will register a company for a few hundred rand. The filing itself is the easy part, and most of them stop there.

What a bare filing doesn't give you is the paperwork a bank, SARS, a tender board, an investor or a future buyer will ask for: a securities register and share certificates (required by the Companies Act, not optional), a beneficial ownership declaration (now mandatory before annual returns can be filed), directors' and shareholders' resolutions, an MOI that matches your ownership, and a B-BBEE affidavit. Fixing these afterwards is a separate instruction every time.

lawvero builds the company file once, correctly, and hands it over bank-ready.

Questions people ask before they register

How long does it take to register a company?

A name reservation and company registration typically take 5 to 10 business days once we submit, although it can be quicker. Name reservations are the usual delay: a name too close to an existing one gets rejected and we move to your next choice, which is why we ask for up to four. If speed matters more than the name, we can register by enterprise number immediately and add a name later.

Do I need a shareholders' agreement if we're friends or family?

That is exactly when you need one. The MOI governs the company; a shareholders' agreement governs the shareholders: what happens when one wants out, dies, divorces, stops contributing or wants to sell to an outsider. Without it the default is the Companies Act and the courts. The Founders package includes a fixed-fee agreement for up to four shareholders.

Should my shares be held by me personally or by a trust?

It depends on what you're building and what you want to protect. Shares in a trust are generally ring-fenced from your personal creditors and simplify succession, but attract their own tax rules and compliance. For a family business or a company that will build value, holding the shares through a trust is common: the trust shareholder set-up is an add-on, and we can register the trust for you. We'll give you a view on the structuring call, not a sales pitch.

What is beneficial ownership and why does it matter?

Since 2023 every company must file a declaration of who ultimately owns or controls it: the natural persons behind the shares, including behind any trust or company shareholder. Annual returns are blocked until it's filed, and non-compliance is an offence. We file it as part of every package and show you how to keep it updated when shareholding changes.

Is the B-BBEE affidavit really free with registration?

Yes. A company with annual turnover under R10 million is an Exempted Micro Enterprise and only needs a sworn affidavit, not a verified certificate. We prepare the affidavit for commissioning as part of every package. If your turnover will exceed R10 million, we'll tell you what a Qualifying Small Enterprise needs instead.
